Corporate and Commercial
a. Corporate Secretarial Services
We provide a wide range of corporate secretarial services including company formation, partnership, branch, representative office, association registration, structuring and implementing of joint-venture arrangement (both corporate and contractual joint-venture), and corporate restructuring. We also give advice on investment promotion criteria on various promoted businesses, handling application for investment promotion (BOI), business operation licenses, and handling of applications for business operating licenses.
b. Commercial Services
Our lawyers provide assistance to clients on preparation, negotiation, reviewing and revising of various business contracts, agreements, memorandum, and other legal documents. We also examine documents, legal audits, and due diligence on business transaction by covering all legal aspects.
Employment Law
Our lawyers in this group are able to assist clients on preparation and negotiation of employment contracts, employment laws and regulations, and the preparation of work rules in compliance with local labor laws and regulations, as well as assisting clients on their negotiation on labor disputes.
Corporate Finance
a. Merger and Acquisition
We offer legal services with regard to advise on legal and regulatory regime to both private and public companies, along with the preparation, negotiation, and conclusion of the legal documentation required in merger and acquistions deals including business, assets and shares sale and purchase agreements together with ancillary documents. We have extensive experiences in legal due diligence review of companies in various business sectors.
b. Capital Market
We have acted for issuers, investors, underwriters, and other market participants on a wide range of capital market products including debt/equity linked securities in both private placement and public offrings as well as legal due diligence review to ensure appropriate disclosure in the prospectus or other offering document. We have advised listed companies on their on-going compliance with the stock exchange regulations of Thailand and the Republic of China (Taiwan).

Our commercial practice group also offers a comprehensive range of traditional intellectual property services including licensing and the protection of trademarks, patents, and copyrights.
Property Law
We represent vendors and purchasers in relation to the sale and purchase of land, commercial building and condominium, including preparation of various related agreements, short term and long term lease contract, and legal aspect of project management and construction. Generally, we offer the services in relation to land title and usage of land under the urban plan verification as well as handling of land/condominium/building registration throughout the country. We also offer services in relation to apply for establishment of factory business in the industrial estate with the Industrial Estate authority of Thailand.
Litigation
We provide full scale service of litigation by representing clients as lawyers to solve labor and employment disputes, corporate and commercial disputes, international trade and product liability disputes in several forums i.e. the Court and Arbitration Institute; acting as authorized lawyer to file bankruptcy petition and to fulfill legal requirements for compnay liquidation, to take legal steps or actions against a client's debtor for debt recovery or write-off and liaising with the officers of the Legal Execution Department, the police department, and other competent authorities.
